End User Licence Agreement

This End User Licence Agreement ("EULA") is a binding agreement between you (the end user) and ChunkLand Pty Ltd ("ChunkLand") governing your installation and use of the desktop application known as The Matrix (the "Software"). By installing, copying, or using the Software you agree to this EULA. If you do not agree, do not install or use the Software.
This EULA operates in addition to our Terms of Service. In the event of conflict, the Terms of Service control in relation to subscription, billing, and web-based services; this EULA controls in relation to the desktop Software itself.
1. Grant of licence
Subject to payment of the applicable subscription fee and ongoing compliance with this EULA, ChunkLand grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on the number of devices permitted by your plan, for one named human per seat. You may install on up to three devices per seat for that same human's personal use.
2. Restrictions
You must not, and must not permit any third party to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or proprietary data formats of the Software, including but not limited to any data-encoding scheme, signing scheme, or codec used to generate or read the stamps produced by the Software.
- Modify, translate, or create derivative works of the Software.
- Rent, lease, sublicence, distribute, or make the Software available as a hosted service to any third party.
- Remove, alter, or obscure any proprietary notices or licence information.
- Circumvent or attempt to circumvent any technical measures that control access or protect the Software.
Nothing in this clause limits your rights under Australian Consumer Law or other non-excludable law that expressly permits reverse-engineering for interoperability purposes.
3. Ownership
The Software is licensed, not sold. ChunkLand retains all rights, title, and interest in the Software, including all intellectual property rights. You retain all rights to documents you process with the Software.
4. Licence key
We issue you a licence key on subscription. You must treat the key as confidential. The Software validates the key with our servers periodically; if validation fails for more than 30 consecutive days the Software switches to read-only mode.
5. Updates
The Software will check for and may install updates automatically. Updates may include codec changes required for compatibility with the latest server-side rules. You agree to receive such updates as part of your licence.
6. Telemetry
The Software transmits limited telemetry (licence key, app version, OS version) during periodic validation. It does not transmit the contents of documents you process. See our Privacy Policy.
7. Warranty disclaimer
To the maximum extent permitted by law, the Software is provided "as is" without warranty of any kind, whether express, implied, statutory, or otherwise. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this EULA limits those rights.
8. Limitation of liability
To the maximum extent permitted by law, ChunkLand's total liability under or in connection with this EULA in any 12-month period is limited to the fees you paid us during that period. We are not liable for any indirect, consequential, or incidental loss (including loss of data or loss of profits), except where such liability cannot be excluded by law.
9. Termination
This EULA is effective until terminated. Your licence terminates automatically if you breach any term of this EULA or fail to pay subscription fees. On termination, you must stop using the Software and uninstall it. Sections 2, 3, 7, 8, 10, and 11 survive termination.
10. Export and sanctions
You represent that you are not located in a country subject to a comprehensive Australian, US, UK, or EU embargo, and that you are not on any restricted-party or sanctions list. You must not use or export the Software in breach of applicable trade-control law.
11. Governing law
This EULA is governed by the laws of Western Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
