Terms of Service

These Terms form a binding agreement between you (the customer) and ChunkLand, a registered business name of Christopher Hanton McKenzie (ABN 53 628 676 390, "ChunkLand"), governing your use of The Matrix software and related services (the "Service"). By subscribing to, downloading, or using the Service, you accept these Terms.
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms limits your rights under that law.
1. Licence
Subject to payment of the applicable subscription fee, ChunkLand grants you a non-exclusive, non-transferable, revocable licence to install and use the Service on the number of devices permitted by your plan, for your internal business purposes. You must not reverse-engineer, sublicence, resell, or redistribute the Service.
2. Accounts
You are responsible for the accuracy of the information you provide, for the confidentiality of your license key, and for everything that happens under your account. Notify us promptly if you suspect your key has been compromised.
3. Subscription and billing
Subscriptions are billed monthly in advance via Stripe. Prices are stated in the currency shown at checkout and may be adjusted with 30 days' notice. GST is not currently added. ChunkLand is not GST-registered (annual turnover under the A$75,000 ATO threshold). If that changes, we will add GST with at least 30 days' notice. Subscriptions renew automatically until cancelled.
4. 14-day money-back guarantee
The Matrix is A$29/month, billed monthly in advance via Stripe — payment by card is required to start. If The Matrix doesn't work for you, email hello@chunkland.com within 14 days of your first paid month and we will refund that month in full. See our Refund Policy for details.
5. Cancellation and refunds
You may cancel any month from the billing portal. Cancellation takes effect at the end of the current billing period. See our Refund Policy for the full terms, which are limited by Australian Consumer Law as above.
5a. Acceptable use
Additional restrictions apply to how you use the Service. See our Acceptable Use Policy. Violations may result in immediate suspension.
5b. Desktop app licence
Your use of the desktop application is also governed by the End User Licence Agreement, which you accept on first run of the installer.
5c. Use at work and personal-software policies
Matrix runs locally on your computer. Your files never leave your device. Before installing on a work computer, check your employer's IT policy on personal software. You're responsible for ensuring you're allowed to use Matrix with documents you process for work. ChunkLand makes no representation that Matrix is approved for use on any particular employer's systems and accepts no liability for breaches of any employer policy that result from your use of Matrix.
6. Your data
You retain all rights to documents you process with the Service. The Matrix runs locally and does not transmit your documents to us. See our Privacy Policy for details.
7. Acceptable use
You must not use the Service to process documents you don't have the right to process, to forge or tamper with documents, or in any way that breaches applicable law. We may suspend accounts that we reasonably believe are being used unlawfully.
8. Service availability
The desktop software runs on your machine and does not require our servers to keep working for up to 7 days offline. Our licensing and billing services are provided on a best-effort basis; we don't guarantee uninterrupted availability. Planned maintenance is announced in advance.
9. Warranty and liability
To the maximum extent permitted by law, the Service is provided "as is" without warranty of any kind. Our total liability in any 12-month period is limited to the fees you paid us in that period. Nothing in these Terms excludes any guarantee that cannot be excluded under the Australian Consumer Law.
10. Termination
We may terminate your account with notice if you breach these Terms or fail to pay. On termination, your licence ends and the Service switches to read-only for any files already produced.
11. Changes to these Terms
We may update these Terms from time to time. If the change is material we'll email active subscribers with at least 30 days' notice before it takes effect.
12. Governing law
These Terms are governed by the laws of Western Australia, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia.
